Wiley Rein Assists in $59 Million Sale of TechTeam Global Government Unit

Wiley Rein has assisted in the sale of TechTeam Global Inc.'s government solutions subsidiary—TechTeam Government Solutions, Inc.—to Jacobs Engineering Group Inc. for $59 million. Partners William A. Roberts, III, co-chair of the firm's Government Contracts Practice, and Kay Tatum, chair of its Corporate Group, led a team from Wiley Rein that served as TechTeam Global's legal counsel, along with attorneys from Blank Rome. Also on the Wiley Rein team were partner Kevin J. Maynard and associates Jon W. Burd and Tracye Winfrey Howard.

Commenting on the deal, Mr. Roberts said, "When buying or selling an entity that sells to the federal government, well informed companies like TechTeam benefit from engaging lawyers with government contracts expertise who understand the legal issues of risk and contractual coverage."

TechTeam, a worldwide provider of information technology outsourcing, will sell the entirety of its stock in TechTeam Government Solutions, Inc. to Jacobs, one of the world's largest and most diverse providers of technical, professional, and construction services. The transaction is expected to close in the third quarter, pending a TechTeam shareholder vote.

Ranked in the top tier of government contracts practices nationwide by Chambers USA, Wiley Rein's Government Contracts Practice serves as "go-to" counsel for companies with high-stakes business before the federal government. The group often teams with the firm's Corporate Practice on transactional deals and in mergers and acquisitions. Wiley Rein served as lead counsel for a major communications and electronics company's $825 million sale of its government contracting division, and Wiley Rein lawyers drafted and negotiated the acquisition of agreements for a major European aerospace company in its purchases of more than $2.2 billion from major U.S. defense companies.
